Codezone Website Terms of Use 

1. THIS IS AN AGREEMENT BETWEEN YOU AND MICROSOFT 

This is an agreement ("Agreement") between you and Microsoft Corporation (or, if applicable based on where you reside, one of its affiliates) ("Microsoft"). This Agreement governs your use of the Codezone website ("Codezone Website"). You represent that you are at least 18 years of age and have attained the age of majority in the province, state or country in which you reside, and any information that you submit is correct and lawful. 

MICROSOFT OFFERS THE CODEZONE WEBSITE TO YOU ON THE CONDITION OF YOUR ACCEPTANCE WITHOUT MODIFICATION OF THIS AGREEMENT. YOUR USE OF THE CODEZONE WEBSITE CONSTITUTES YOUR UNCONDITIONAL ACCEPTANCE OF THIS AGREEMENT. 
THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES AND LIABILITY.  THESE PROVISIONS FORM AN ESSENTIAL PART OF THIS AGREEMENT. IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT DO NOT USE THE CODEZONE WEBSITE.

2. THE CODEZONE WEBSITE

A.  Overview.  The Codezone Website is a "Developer knowledge network" by developers for developers.  On the Codezone Website you can find information on resources about software development for the Microsoft platform (the "Codezone Subjects Focal Point").  

The contents of the Codezone Website can be accessed through a search function and site directory and is supplied by (i) Content partners, publishing houses, organisers, training organisations and Community websites and (ii) Microsoft itself. 
 
As a visitor to the Codezone Website, you may use the site within the boundaries of the following:

B. Codezone User. As a visitor of the CodeZone Website, you can register as a Codezone User.  You will be required to provide information, including personal information, during the registration process.  After successful registration, Codezone Users will have the ability to submit content in the key topic areas on the Codezone Website.  

Microsoft may at its discretion offer Codezone Users the option to take part in discussion forums to exchange views or to post comments on resources available on the Codezone Website.

C. Codezone Member.  Codezone Users can register as a Codezone Member.  To register as a Codezone Member you will be required to provide additional information during the registration process.  

Codezone Members will receive in addition to the Codezone User rights, the ability to create a personalised homepage, called "My Zone".  My Zones can be seen by other visitors to the Codezone Website.  

Codezone Members can link to other content created in the Codezone Website, as long as the creator of the other content has given permission for users to link to their content.  Such permission may be revoked at any time.

Codezone Members can export/import content to the "My Zone" homepage from other personal homepages existing on other websites, providing that corresponding permission of the other site to use the content exists.   

D. Codezone Experts.  Codezone Members can apply to become a Codezone Expert.  Codezone Experts will be selected at the discretion of the Codezone Board.  Codezone Experts will review the content submitted on the Codezone Website, in particular to ensure the content on the Codezone key topics fit and is appropriate to the section of the Codezone Website on which it is placed, as well as the overall objective of the Codezone Website. Codezone Experts shall not be responsible for the legal or other compliance of the content of the Codezone Website.

E. Codezone Editors.  Codezone Experts can apply to become Codezone Editors.  Codezone Editors will be selected at the discretion of the Codezone Board.  Codezone Editors are assigned certain pages of the Codezone Website for which they are responsible for editing.  By their editorial process, they will ensure there is a complete spectrum of topics and balance of opinion and views on the Codezone Website.  Codezone Editors shall not be responsible for the legal or other compliance of the content of the Codezone Website.

F. Codezone Board.  The Codezone Board consists of key personnel of the Codezone community.  The Codezone Board is responsible for the arrangement of the Codezone Website as well as for the appointment and selection of the Codezone Experts and Codezone Editors.  The members of the Codezone Board are determined by Microsoft.  

G.  No right to a position.  There is no automatic right to claim a position as a Codezone User, Codezone Member, Codezone Expert, Codezone Editor and/or a member of the Codezone Board.  Microsoft and/or the Codezone Board reserve the right to grant and/or to withdraw the above mentioned positions at their discretion. 

H. Member account, password, and security. If you register at the Codezone Website, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Microsoft immediately of any unauthorized use of your account or any other breach of security. Microsoft will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Microsoft or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.


3. USE OF THE CODEZONE WEBSITE

The content posted on the Codezone Website by visitors shall not contain any content that might offend or contravene the law.  Only content that applies to the Codezone key topics may be posted on the Codezone Website.  Any commentary should be clearly relevant to the Codezone Website and be factual.  

The Codezone Experts, the Codezone Editors and the Codezone Board have the right to review all posted content and to remove it if it does not contain references to the Codezone Subjects Focal Point.   Any content which may be illegal or otherwise infringes the rights of any person should be immediately notified to Microsoft at [add email address]. 

The Codezone Website may contain e-mail services, bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, photo albums, file cabinets and/or other message or communication facilities designed to enable you to communicate with others (each a "Communication Service" and collectively "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using the Communication Services, you will not:
-	Use the Communication Services in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).
-	Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
-	Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.
-	Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.
-	Use any material or information, including images or photographs, which are made available through the Codezone Website in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
-	Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.
-	Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Services specifically allows such messages.
-	Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.
-	Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
-	Restrict or inhibit any other user from using and enjoying the Communication Services.
-	Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
-	Harvest or otherwise collect information about others, including e-mail addresses.
-	Violate any applicable laws or regulations.
-	Create a false identity for the purpose of misleading others.
-	Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of the Codezone Website or other user or usage information or any portion thereof.

Microsoft has no obligation to monitor the Communication Services. However, Microsoft reserves the right to review materials posted to the Communication Services and to remove any materials or content in its sole discretion. Microsoft reserves the right to terminate your access to any or all of the Communication Services at any time, without notice, for any reason whatsoever.

Microsoft reserves the right at all times to disclose any information as Microsoft deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information, content or materials, in whole or in part, in Microsoft's sole discretion.

Always use caution when giving out any personally identifiable information about yourself or your children in any Communication Services. Microsoft does not control or endorse the content, messages or information found in any Communication Services and, therefore, Microsoft specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Services. Managers and hosts are not authorized Microsoft spokespersons, and their views do not necessarily reflect those of Microsoft.
Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials.

4. NO COMMERCIAL OR HARMFUL USE

The Codezone Website is for your personal use only. You are not permitted to use the Codezone Website for commercial purposes. You may not use the Codezone Website in any way that is unlawful, or harms Microsoft, its affiliates, resellers, distributors, service providers and/or suppliers (each, a "Microsoft Party" and collectively, the "Microsoft Parties") or any customer of a Microsoft Party, as determined in Microsoft's sole discretion. Microsoft may tell you about certain specific harmful uses in a code of conduct or other notices available through the Codezone Website, but has no obligation to do so. You may not use the Codezone Website in any way that breaches this Agreement or any code of conduct, policy or other notice applicable to the Codezone Website. Without limiting the generality of this section, you may not use the Codezone Website in any manner that could damage, disable, overburden, or impair any Codezone Website (or the network(s) connected to any Codezone Website) or interfere with any other party's use and enjoyment of the Codezone Website. 

You may not attempt to gain unauthorized access to the Codezone Website, other accounts, computer systems or networks connected to any Microsoft server through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Codezone Website.


5. HOW MICROSOFT MAY MODIFY THIS AGREEMENT 

Microsoft reserves the right to change the terms, conditions, and notices under which it offers the Codezone Website, including any charges associated with the use of the Codezone Website. You are responsible for regularly reviewing this Agreement, and any additional terms posted on the CODEZONE Website. Microsoft reserves the right to update this Agreement at any time without notice to you. The most current version of this Agreement can be reviewed by clicking on the "Terms of Use" hypertext link located at the bottom of the Codezone Website pages. Your continued use of the CODEZONE Website after the effective date of such changes constitutes your acceptance of and agreement to such changes. 

6. ADDITIONAL TERMS 

The Codezone Website may itself contain additional terms (for example, codes of conduct or guidelines) that further govern the use of the Codezone Website, including without limitation, particular features or offers. If any terms contained in this Agreement conflict with any terms contained within Codezone Website, then the terms in this Agreement shall prevail. 

7. SPAM IS PROHIBITED AND CAUSES DAMAGE; SPAM FILTERING TECHNOLOGY 

You are not permitted to use the Codezone Website to transmit, either directly or indirectly, any unsolicited bulk e-mail or unsolicited commercial e-mail. You may not use the Codezone Website in any way that violates the Microsoft Anti-Spam Policy. You may view the Anti-Spam Policy at http://privacy.msn.co.uk/anti-spam/default.asp. A breach of any part of the Anti-Spam Policy is a breach of this Agreement. Microsoft may use filtering technology or other measures in its efforts to stop unsolicited bulk e-mail and unsolicited commercial e-mail, and if your use of the Codezone Website includes e-mail related services, then such filtering technology or other measures may block, either temporarily or permanently, some e-mail sent to you through the Codezone Website even if such e-mail does not violate the Anti-Spam Policy. 

8. MATERIALS YOU POST OR PROVIDE; COMMUNICATIONS MONITORING 

For materials or content you post as a user, member or otherwise provide to the Codezone Website or other Microsoft site related to the Codezone Website (a "Submission"), you grant Microsoft and its affiliated companies permission to (1) use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, translate and reformat your Submission, each in connection with the Codezone Website, and (2) sublicense these rights, to the maximum extent permitted by applicable law. 

Microsoft does not claim ownership of the Submissions you provide (including feedback and suggestions) or post, upload, input or submit to any part of the Codezone Website for review by the general public, or by the members of the CozeZone community. 

No compensation will be paid with respect to the use of your Submission. Microsoft is under no obligation to post or use any Submission you may provide and Microsoft may remove any Submission at any time in its sole discretion.

By posting a Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this Agreement including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

To the maximum extent permitted by applicable law, Microsoft may monitor your e-mail, or other electronic communications and may disclose such information in the event it has a good faith reason to believe it is necessary for purposes of ensuring your compliance with this Agreement, and protecting the rights, property, and interests of the Microsoft Parties or any customer of a Microsoft Party. 

9. SOFTWARE 

Your use of any software associated with the Codezone Website will be governed by the terms and conditions of the end user license agreement ("EULA") accompanying such software. If you receive any software that is not accompanied by a EULA, then Microsoft grants to you a non-exclusive, revocable, personal, non-transferable license to use such software solely in connection with the Codezone Website and in accordance with this Agreement. Microsoft reserves all rights to such software not expressly granted to you in this Agreement. Such software is protected by copyright and other intellectual property rights. Microsoft or its suppliers own the title, copyright, and other intellectual property rights in such software, and such software is licensed, not sold. You will not disassemble, decompile, or reverse engineer, such software, except and only to the extent that such activity is expressly permitted by applicable law

10. INFORMATION AVAILABLE FROM THE CODEZONE WEBSITES 

Microsoft and its suppliers do not warrant or guarantee the accuracy or timeliness of any information available from the Codezone Website.  Microsoft and its suppliers do not authorize the use of information available from the Codezone Website for any purpose other than your personal use, and prohibit to the maximum extent allowable the resale, redistribution, and use of this information for commercial purposes. 

11. LINKS TO THIRD PARTY SITES

THE LINKS PROVIDED ON THE CODEZONE WEBSITE WILL LET YOU LEAVE MICROSOFT'S SITE. THE LINKED SITES ARE NOT UNDER THE CONTROL OF MICROSOFT AND MICROSOFT IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. MICROSOFT IS NOT RESPONSIBLE FOR WEBCASTING OR ANY OTHER FORM OF TRANSMISSION RECEIVED FROM ANY LINKED SITE. THESE LINKS ARE PROVIDED TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY MICROSOFT OF THE SITE.


12. MICROSOFT MAKES NO WARRANTY 

MICROSOFT PROVIDES THE CODEZONE WEBSITE "AS IS," "WITH ALL FAULTS" AND "AS AVAILABLE," AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MICROSOFT PARTIES MAKE NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED. THE MICROSOFT PARTIES DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (1) WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT, (2) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (3) WARRANTIES OR CONDITIONS THAT ACCESS TO OR USE OF THE CODEZONE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE. 

13. LIABILITY LIMITATION 

IN NO EVENT WILL ANY MICROSOFT PARTY BE LIABLE FOR ANY DAMAGE, OR LOSS INCLUDING WITHOUT LIMITATION ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE LOSS OR DAMAGE ARISING OUT OF, BASED ON, OR RESULTING FROM THIS AGREEMENT OR YOUR USE OF THE CODEZONE WEBSITE, EVEN IF SUCH MICROSOFT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGE ARISES FROM (1) BREACH OF CONTRACT, (2) BREACH OF WARRANTY, (3) NEGLIGENCE, OR (4) ANY OTHER CAUSE OF ACTION, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. 


14. CHANGES TO THE CODEZONE WEBSITE; ADDITIONAL LIABILITY LIMITATION 

THE MICROSOFT PARTIES MAY CHANGE THE CODEZONE WEBSITE OR AMEND FEATURES IN ANY WAY, AT ANY TIME AND FOR ANY REASON. 

As you use the Codezone Website, you should expect to receive, access or use information, materials, graphics, software, data and content (collectively, "Content") which originates from Microsoft and persons other than Microsoft (any such person is referred to as a "Third Party"). 

YOU ACKNOWLEDGE AND AGREE THAT THE MICROSOFT PARTIES ARE NOT RESPONSIBLE OR LIABLE FOR (1) ANY CONTENT, INCLUDING WITHOUT LIMITATION, ANY INFRINGING, INACCURATE, OBSCENE, INDECENT, THREATENING, OFFENSIVE, DEFAMATORY, TORTIOUS, OR ILLEGAL CONTENT, OR (2) ANY THIRD PARTY CONDUCT, TRANSMISSIONS OR DATA. IN ADDITION, YOU ACKNOWLEDGE AND AGREE THAT MICROSOFT IS NOT RESPONSIBLE OR LIABLE FOR (1) ANY VIRUSES OR OTHER DISABLING FEATURES THAT AFFECT YOUR ACCESS TO OR USE OF THE CODEZONE WEBSITE, (2) ANY INCOMPATIBILITY BETWEEN THE CODEZONE WEBSITE AND OTHER WEBSITES, SERVICES, SOFTWARE AND HARDWARE, (3) ANY DELAYS OR FAILURES YOU MAY EXPERIENCE IN INITIATING, CONDUCTING OR COMPLETING ANY TRANSMISSIONS OR TRANSACTIONS IN CONNECTION WITH THE CODEZONE WEBSITE IN AN ACCURATE OR TIMELY MANNER, OR (4) ANY LOSS, DAMAGE OR COSTS OF ANY TYPE ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF ANY SERVICES AVAILABLE FROM THIRD PARTIES THOUGH LINKS CONTAINED ON THE CODEZONE WEBSITE. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN SECTIONS 12, 13 AND 14 OF THIS AGREEMENT APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND ARE NOT INTENDED TO DEPRIVE YOU OF ANY MANDATORY PROTECTIONS PROVIDED TO YOU UNDER APPLICABLE LAW. 

15. TERMINATION; ACCESS RESTRICTION 

Microsoft may terminate this Agreement, or terminate or suspend your access to the Codezone Website at any time, with or without cause, with or without notice. Upon such termination or suspension, your right to use the Codezone Website will immediately cease. UPON SUCH TERMINATION OR SUSPENSION, ANY INFORMATION YOU HAVE STORED ON THE Codezone WEBSITE MAY NOT BE RETRIEVABLE. 

16. CHOICE OF LAW AND LOCATION FOR RESOLVING DISPUTES 

If this Agreement is with Microsoft Corporation, claims for enforcement, breach or violation of duties or rights under this Agreement will be adjudicated under the laws of the State of Washington, without reference to conflict of laws principles. If this Agreement is with a Microsoft affiliate, claims for enforcement, breach or violation of duties or rights under this Agreement will be adjudicated under the laws of the place of incorporation for such Microsoft affiliate, without reference to conflict of laws principles. All other claims, including, without limitation, claims under or for violation of consumer protection laws, unfair competition laws, and in tort, will be adjudicated under the laws of your state of residence in the United States, or, if you reside outside the United States, under the laws of the country in which the relevant Microsoft affiliate is incorporated.  If this Agreement is with Microsoft Corporation, you hereby irrevocably consent to the exclusive jurisdiction and venue of state or federal courts in King County, Washington, USA in all disputes arising out of or relating to the use of the Codezone Website. If this Agreement is with a Microsoft affiliate, you hereby consent to the exclusive jurisdiction and venue of the courts located in the place of incorporation for such Microsoft affiliate in all disputes arising out of or relating to the use of the Codezone Website. 

17. INTERPRETING THE AGREEMENT; ASSIGNMENT 

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed omitted and the remainder of this Agreement will continue in full force and effect. Microsoft may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Agreement, or assign, transfer or sublicense your rights, if any, in the Codezone Website. Except as expressly stated herein, this Agreement constitutes the entire agreement between you and Microsoft with respect to the Codezone Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Microsoft with respect to the Codezone Website. The section titles in the Agreement are solely used for the convenience of the parties and have no legal or contractual significance. 

18. COPYRIGHT AND TRADEMARK NOTICES; OTHER ACKNOWLEDGEMENTS

19. NOTICES AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT 

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to Service Provider's Designated Agent.
